Woolworths Holdings Limited said it has received formal notice that the Public Investment Corporation State‑Owned Company Limited has raised its beneficial interest in the retailer’s ordinary shares to 20.192%. The company said the required disclosure has been lodged with the Takeover Regulation Panel in line with South Africa’s Companies Act.

The crossing of the 20% threshold is significant because the law requires shareholders to notify the market at 5% intervals, signalling a material change in influence. With just over one‑fifth of the vote, the Public Investment Corporation is positioned as a major voice in shareholder decisions, although it does not on its own have enough to block special resolutions, which typically require a higher threshold.
