Northam Platinum Holdings Limited said on Tuesday that the Public Investment Corporation SOC Limited has built a 20.469% beneficial interest in its issued share capital, a holding that crosses a key disclosure threshold under South African company law.

Northam said it will file the required notices with the Takeover Regulation Panel and the Companies and Intellectual Property Commission, as required when significant shareholding thresholds are crossed. The company did not disclose how or over what period the stake was accumulated, nor any purchase price information.

The move positions the state-owned asset manager as one of Northam’s most influential shareholders, with voting power that could shape outcomes on strategic decisions, capital allocation and potential corporate actions. While the stake is well below the 35% level that can trigger a mandatory offer, passing 20% can affect governance dynamics and the balance of investor influence. The larger holding may also have implications for trading liquidity and the composition of Northam’s free float.

Investors will watch for acknowledgement from the Takeover Regulation Panel and the Companies and Intellectual Property Commission, any engagement between the Public Investment Corporation and Northam’s board, and whether the shareholding changes further toward other regulatory thresholds. Any subsequent disclosures under Section 122 of the Companies Act would signal additional moves.
